RENTAL AGREEMENT

This Agreement, entered into on _______________________ between Sandarac Gallery (Gallery) and ___________________________________________________ ( Renter)

sets forth the terms under which the following work(s) shall be made available for use by the Renter for a three-month period from the date of delivery:

The Gallery shall be responsible for delivery and pick-up of the work(s) listed. The delivery date shall be ______________________________.

The Renter agrees to make an immediate written objection if the work(s) upon delivery is/are not in good condition. If the objection is accepted by the Gallery, its representative shall initial the objection and attach a copy to the Agreement. If not, the Agreement shall be immediately voided.

The Renter agrees to return the work(s) at the end of the rental period in the same condition as received.

The Renter shall be responsible for loss or damage to the rented work(s) from the date of delivery until the date of pick-up.

The Renter shall insure the work(s) and shall provide the Gallery with a certificate of insurance.

The Renter agrees to keep the work(s) listed at the following address, which may be changed only with the Gallery’s written consent ________________________________

The Gallery, acting on its own behalf or on behalf of the maker(s) of the work(s), reserves all reproduction rights. No work may be photographed, sketched, painted, or reproduced in any manner without the express, written consent of the Gallery.

The three-month rental period may be extended for an additional three months upon fifteen days written request. However, the Gallery may refuse to extend the rental period.

The Renter shall have the option to purchase the work(s) for the value declared in this Agreement. Sixty percent of the amount of rental paid shall be credited toward the purchase price.

The Gallery may sell the work(s) during the rental period, but shall not require return until the end of the committed rental period.

The Renter shall be liable for any tax that may be due on the rental or purchase transaction. The amount of the tax shall be in addition to the rental fee or purchase price.

Title to, and a security interest in, any work(s) rented under this Agreement is reserved to the Gallery or to the maker(s) it represents.

This Agreement shall not be assignable by either party.

This Agreement shall be binding not only on the Renter, but also on his/her heirs and personal representatives.

This Agreement shall be governed by the laws of the State of Maryland.

In any proceeding to enforce any part of this Agreement, the aggrieved party shall be entitled to reasonable attorney’s fees in addition to any available remedy.
